Most remarkable manufacturing transactions in the first half of 2019

An inventory conducted by Corporate Finance International (CFI) shows a busy first six months of 2019 for the Dutch manufacturing industry.

Based on last year’s transactions in the Dutch manufacturing industry, CFI had already concluded that the M&A market is becoming increasingly international, a trend that continued into the first half of 2019. So what were the key trends and transactions according to CFI advisors Martijn Liem and Jaap de Jong?

Number of transactions stable

To start with, the total number of transactions in the first half of 2019 (148) lagged somewhat behind the (traditionally more busy) last half of 2018, but compared to the 154 transactions in the first half year of 2018, the overall number of transactions remained more or less the same.

The Plastics & Packaging and Consumer Products industries showed an increase in the number of transactions compared to the same period in 2018, while there was a drop in the Automotive, Chemicals, Hightech and Renewable Energy industries, in line with global trends.

More strategic buyers

Remarkable is the growing number of strategic buyers who seem to have fattened up considerably. In the first half of 2018, strategic buyers accounted for some 58 percent of the total, but this number increased to around 74 percent in the same period this year.

Financial parties left the market, focusing on sales rather than new acquisitions in the Dutch manufacturing industry.

Verder Group

Some four out of ten buyers were foreign in the first six months of 2019; about the same as last year. Dutch parties were a little more active abroad, and activity in Machine Construction and Plastics & Packaging particularly stood out.

For instance, manufacturer of industrial pumps and laboratory installations Verder Group, number 1 in the 2018 Maakindustrie100, acquired both American Microtrac and Japanese MictrotracBEL, allowing it to extend its product portfolio with product lines for particle characterisation by laser diffraction, dynamic light scattering and surface analysis.

South Korea

Where Japanese parties occasionally have their sights set on the Netherlands (four transactions in the first half of the year), it is rarer for Dutch parties to actively seek out acquisitions in the Far East.

Notable was therefore the acquisition of the animal feed branch of South Korean CJ CheilJedang by fish feed manufacturer Nutreco. Verder Group had already bought a company in South Korea at the end of 2018.

US: again very active

While there were just two transactions involving Chinese parties, American companies were involved in thirteen transactions in the first six months (compared with 23 for all of 2018) with, once again, a clear focus on the Dutch market.

The takeover of the Dutch Power Company (DPC) by the Alamo Group also stood out. Both mechanisation companies produce mowers and mower arms for the maintenance of embankments and flow profiles.

Optimum Group

Consolidation is still ongoing in the Plastics & Packaging industry, with a particular role for Optimum Group. This Dutch /Belgian group of label and packaging specialists, active in industries including Food, Retail, Cosmetics and Pharma, took over two Brabant label manufacturers: Belona and Megaflex.

This means that the Optimum Group has taken over eight companies since its establishment in 2016.

Denmark

The relatively large number of transactions involving Danish partners also stood out. Notable is the takeover by Danish textile manufacturer Kvadrat of the Eibergen-based window dressing manufacturer.

Under the banner of the Danish family business, Verosol, which has been in the hands of the Wagram investment company since 2006 though ailing in recent years, expects to be able to grow again.

Maakindustrie100

If we finally look at companies from the Maakindustrie100 for 2018, we notice movement at the Varsseveld-based steel manufacturer 247TailorSteel with investment company Parcom Capital acquiring a majority stake.

Boiler manufacture Intergas became part of American Rheem, with the latter extending its portfolio by boilers and boiler products for both private and commercial markets.

DORC, manufacturer of ophthalmic accessories, was sold for around €300 million to French investors Eurazeo. And last but not least, can producer Pack2Pack International was taken over by Danish Glud & Marstrand, subsidiary of its Mexican industry colleague, Envases Universales.

Dít waren de opvallendste maaktransacties in de eerste helft van 2019

De Nederlandse maakindustrie zat bepaald niet stil in het eerste halfjaar van 2019, zo blijkt uit een inventarisatie van Corporate Finance International (CFI).

Kijkend naar de transacties van afgelopen jaar in de Nederlandse maakindustrie, constateerde CFI eerder al dat de fusie- en overnamemarkt steeds internationaler van karakter wordt. Ook in de eerste helft van 2019 roerden buitenlandse partijen zich volop op de Nederlandse markt. Wat waren volgens adviseurs Martijn Liem en Jaap de Jong van CFI de opvallendste trends en transacties in het eerste halfjaar van 2019?

Gelijkblijvend aantal transacties

Om te beginnen lag het totale aantal transacties in deze eerste helft van 2019 (148) weliswaar iets lager dan in de (traditioneel drukkere) tweede helft van afgelopen jaar, maar in vergelijking met het eerste halfjaar van 2018 (toen er 154 transacties werden genoteerd) bleef het totale aantal transacties ongeveer gelijk.

De sectoren Plastics & Packaging en Consumer Products lieten een toename zien in het aantal transacties ten opzichte van dezelfde periode vorig jaar; in sectoren als Automotive, Chemicals, Hightech en Renewable Energy was er – in lijn met de wereldwijde trend – sprake van een daling.

Meer strategische kopers

Wat opvalt is het toenemende aantal strategische kopers; die lijken weer behoorlijk wat vet op de botten te hebben. Bedroeg het aantal strategiche kopers in de eerste helft van 2018 zo’n 58 procent van het totaal, in dezelfde periode dit jaar was dat opgelopen tot ongeveer 74 procent.

Parralel daaraan maakten financiële partijen een terugtrekkende beweging; zij richtten zich liever op verkopen dan op nieuwe acquisities binnen de Nederlandse maakindustrie.

Verder Group

Ongeveer vier op de tien kopers kwamen in het eerste halfjaar van 2019 uit het buitenland; een percentage dat ongeveer gelijk is aan een jaar eerder. Tegelijkertijd toonden Nederlandse partijen zich wat actiever in het buitenland, waarbij vooral de activiteit in de Machinebouw en in Plastics & Packaging opviel.

Zo lijfde de Verder Group, de nummer 1 uit de Maakindustrie100 van 2018, zowel het Amerikaanse Microtrac als het Japanse MictrotracBEL in. Daarmee breidde de fabrikant van industriële pompen en laboratoriuminstallaties zijn productportfolio uit met productlijnen voor deeltjeskarakterisering door laserdiffractie, dynamische lichtverstrooiing en oppervlakteanalyse.

Zuid-Korea

Richten Japanse partijen hun pijlen wel vaker op Nederland (met in de eerste helft van het jaar vier transacties), andersom gebeurt het minder vaak dat Nederlandse partijen actief acquireren in het Verre Oosten.

In dat licht viel ook de acquisitie op van de diervoedertak van het Zuid-Koreaanse CJ CheilJedang door visvoerfabrikant Nutreco. Eind 2018 deed ook Verder Group al een overname in Zuid-Korea.

VS: opnieuw erg actief

Het aantal transacties met een Chinees tintje bleef andermaal beperkt, met slechts twee transacties. In contrast daarmee roerden Amerikaanse partijen zich met dertien transacties in het eerste halfjaar (tegen 23 in heel 2018) als vanouds nadrukkelijk op de Nederlandse markt.

Opvallende transactie was onder meer de overname van de Dutch Power Company (DPC) door de Alamo Group. Beide mechanisatiebedrijven maken onder meer maaiers en maaiarmen voor berm- en slotenonderhoud.

Optimum Group

In de sector Plastics & Packaging vindt een aanhoudende consolidatieslag plaats, waarbij vooral de activiteit van de Optimum Group opviel. Deze Nederlands/Belgische groep van label- en verpakkingsspecialisten, actief in onder meer Food, Retail, Cosmetica en Pharma, nam twee Brabantse labelfabrikanten over: Belona en Megaflex.

Daarmee kwam het totale aantal overgenomen bedrijven, sinds de introductie van de Optimum Group in 2016, op in totaal acht.

Denemarken

Ook opvallend: het relatief grote aantal transacties (vijf) met een Deens tintje. Het vermelden waard is de overname van de Eibergense raambekledingfabrikant Verosol door de Deense textielfabrikant Kvadrat.

Onder de vlag van het Deense familiebedrijf verwacht het de afgelopen jaren kwakkelende Verosol (dat sinds 2006 in handen was van investeringsmaatschappij Wagram) weer te kunnen groeien.

Maakindustrie100

Kijken we ten slotte naar bedrijven uit de Maakindustrie100 van 2018, dan valt onder meer de beweging bij 247TailorSteel op; investeringsmaatschappij Parcom Capital verwierf een meerderheidsbelang in de staalfbarikant uit Varsseveld.

CV-ketelfabrikant Intergas ging deel uitmaken van het Amerikaanse Rheem, dat daarmee zijn portfolio met ketel- en boilerproducten voor zowel de particuliere als de commerciële markt uitbreidt.

DORC, fabrikant van oogheelkundige benodigdheden, kwam voor ongeveer €300 miljoen in handen van de Franse investeerder Eurazeo. Blikjesfabrikant Pack2Pack International ten slotte kwam onder de hoede van het Deense Glud & Marstrand, dochteronderneming van de Mexicaanse branchegenoot Envases Universales.
