Frontier Management Inc. (CFI Japan) advised Via Mechanics on the sale of its Exposure Machine Business to ADTEC Engineering Co.


Tokyo – Frontier Management Inc. (CFI Japan) acted as the exclusive corporate finance advisor to Via Mechanics Limited for the sale of its Exposure Machine Business to ADTEC Engineering Co. Limited, a wholly owned subsidiary of USHIO INC.

Via Mechanics Limited engages in the research and development, design and engineering, manufacture, sale, and service of processing machines for electronic components. It provides printed circuit boards (PCB) drilling machines, laser processing machines, exposure machines, and high-precision routing machines. The company also offers installation, on-call after service, maintenance, relocation (domestic/cross boarder) services.

Since its establishment in 1983, ADTEC Engineering has leveraged a fusion of elemental technologies comprising the fields of electricity, software, image processing, and optics, together with its core technologies in the areas of special precision processing and factory automation (FA) device development to provide a variety of equipment for manufacturing processes, including printed circuit boards (PCBs), semiconductor packages, and flat panel displays (FPD). As it strives to become a “solutions provider,” the company has focused on exposure systems of the type used in PCB manufacturing, introducing a wide variety of products to resolve customer needs ranging from automatic contact exposure systems to cutting edge digital exposure systems.

CFI’s Japan team was hired to perform financial advisory work related to an absorption-type company split agreement with Via Mechanics Limited and ADTEC Engineering Co. Limited. Through this agreement, ADTEC Engineering Limited acquires the Exposure System Business of Via Mechanics Limited.

The transaction was announced in January 2018 and is effective as of 1 April 2018.
