About the sale

Manufacturers, distributors and supporting organisations see increasing challenges and opportunities in their chain from raw materials to consumer, including scarcity, changing consumer demands, sustainability and digitalisation. Royal HaskoningDHV foresees significant opportunities to deepen and extend its service offering with the acquisition of Districon. With Districon, both companies can now offer a comprehensive portfolio consisting of strategic, financial and sustainability consultancy, digital services, process consultancy and engineering, program and project management, technical expertise and extensive domain knowledge. As a result, both companies are better able to fully support their clients in their entire logistics and production chain. The sale of Districon to Royal HaskoningDHV was finalised on 5 April 2022.

CFI’s role in the process

At CFI, we were asked by Districon to orchestrate the sales process and bring together management, shareholders and Royal HaskoningDHV. CFI initiated the contacts, discussions and negotiations that resulted in the sale of Districon to Royal HaskoningDHV. After the agreement on terms, CFI subsequently coordinated the extensive due diligence to successfully complete the transaction. In this process, day-to-day management team of Districon was supported by CFI in a constructive, pragmatic and proficient way, streamlining and guiding shareholders and current management throughout the entire M&A process while minimising disruptions.
