Egeria has sold TEG to DIT Group, a portfolio company of H2 Equity Partners


Amsterdam – CFI is pleased to announce that it has acted as the exclusive corporate finance advisor to Egeria in the sale of The Employment Group (“TEG”) to DIT Group (“DIT”), a portfolio company of H2 Equity Partners.

About Egeria
Egeria invests in healthy businesses with significant growth potential across the Benelux and DACH region, typically with enterprise values of up to €500 million. As an active investment partner, the firm works closely with management teams to support the further development and growth of its portfolio companies, including through additional acquisitions, international expansion and digitalisation. Its sixth private equity fund has total committed capital of €1.25 billion. Since 2016, Egeria has supported TEG as its private equity shareholder.

About TEG
TEG is a Dutch staffing group focused on connecting and developing skilled workers across the painting, construction and technical sectors. Through its two specialist brands, Faber and Cottus, TEG serves distinct segments of the skilled labour market. Faber is the market leader in the Dutch painting sector, while Cottus specialises in technical professionals across industry, installation technology and high-tech. TEG employs more than 1,300 skilled workers and operates through 20 locations across the Netherlands. 

About DIT Group
DIT Group provides staffing and secondment services for skilled workers and professionals across the construction, engineering and industrial sectors, through its labels DIT Personeel and Larex. The group employs more than 1,200 Dutch and EU-based skilled workers and professionals, operates 15 locations in the Netherlands and has recruitment teams in Poland and Romania. DIT is majority-owned by H2 Equity Partners.

About the transaction
The transaction brings together two complementary staffing groups with a strong presence in technical and skilled labour markets, creating a group with more than 2,500 skilled workers and professionals and combined revenue of over €150 million. The increased scale and nationwide network will broaden the services available to clients and create additional opportunities for skilled workers, while strengthening the group’s ability to address talent needs through training and international recruitment. The combination also provides greater scale to respond to increasing regulatory and compliance requirements in the staffing market.

CFI’s role in the process
CFI advised Egeria on the transaction, building on a relationship with TEG that spans more than a decade. In 2013, CFI advised the shareholders of Tracé Detachering on its sale to TEG. In 2015, CFI advised TEG on its acquisitions of Verhoeve Engineering and Trivoor Bouw & Infra. In 2016, CFI acted as sell-side advisor on the sale of KP&T to TEG. In 2019, CFI advised the shareholders of Cottus, today one of TEG’s two specialist brands, on its sale to TEG. Drawing on this long-standing involvement and its extensive experience in the Staffing & HR Services sector, CFI supported Egeria and TEG throughout the transaction process, working closely with management and shareholders towards the successful signing of the transaction with DIT on 18 September 2026. Completion of the transaction remains subject to approval by the Dutch Authority for Consumers and Markets (ACM).
