Rademaker Group has acquired Form & Frys Maskinteknik

AmsterdamCFI is pleased to announce that it acted as the exclusive corporate finance advisor to Rademaker Group (“Rademaker”) in the acquisition of the Danish Form & Frys Maskinteknik A/S (“Form & Frys”) from the family Jensen.

About Rademaker
Rademaker is a leading manufacturer of industrial bakery and food processing equipment. Founded in 1977 in Soest, the Netherlands, the company initially specialised in dough processing technology and later moved to Culemborg, also in the Netherlands, to support its growth. Rademaker offers tailored solutions for a wide range of bakery products, including bread, pastries, croissants, pizzas, and specialty items. The company combines innovation, automation, precision engineering, and hygienic design to deliver high-performance systems. With extensive knowledge of food production, Rademaker provides flexible solutions for both artisanal and industrial bakeries. Its global presence includes sales offices in France, Germany, the United Kingdom, the United States, Italy, and China, offering turn-key solutions worldwide. Rademaker continues to pioneer bakery technology, addressing both current and future industry demands.

About Form & Frys
Form & Frys, founded in 1983 and based in Hobro, Denmark, specialises in the design and manufacture of machinery for folding, forming, and filling a variety of pastry and baked goods products, such as Danish pastries, pizza shells, and puff pastries. It focuses on providing innovative solutions tailored to the needs of the bakery industry. The company is majority owned by Mr Lars B. Jensen. In October 2023, Form & Frys entered into an exclusive partnership with Rademaker, a Dutch manufacturer of industrial dough processing equipment, designating Rademaker as the exclusive representative of Form & Frys equipment in the European and North American markets.

About the transaction
Rademaker has a strong international presence, exporting equipment globally and supporting customers through regional offices and service centers. The partnership formed with Form & Frys in 2023 expanded Rademaker’s product offering, particularly in forming and filling machinery for laminated dough and pastry products, while also designating Rademaker as the exclusive representative for the European and North American markets. Building on the success of this collaboration, both companies recognised the mutual benefits of an acquisition. This move strengthens Rademaker’s position in the global bakery equipment market and further enhances its product portfolio. It also provides Form & Frys with access to Rademaker’s extensive international network and resources, fostering continued growth. Mr. Lars B. Jensen, the current owner and director of Form & Frys, will remain involved post-acquisition to support the company’s future development.

CFI’s role in the process
Based on its long-standing relationship with Rademaker, the company appointed CFI as their exclusive financial advisor to lead the acquisition process from A to Z. CFI’s efforts ensured a smooth and efficient process, ultimately leading to a successful closing on 10 April 2025.

Sander van Blokland, Director of Rademaker Beheer:“We are very pleased to welcome Form & Frys to our group of companies. This acquisition enables us to serve our customers even better. We would like to thank CFI for their assistance in coordinating the due diligence, supporting the deal term negotiations, and providing strategic advice. We greatly appreciated their professionalism and steadfast support throughout the process.”

Lars B. Jensen, CEO of Form & Frys:“We are very pleased to have found Rademaker as a strategic partner for Form & Frys and its stakeholders. Form & Frys can expand its business more easily through the international presence of Rademaker Group than on a stand-alone basis. Furthermore, the two companies are well-suited due to their shared family culture.”
