Sonical has been sold to VanRoey, a portfolio company of Fortino Capital


Antwerp CFI is pleased to announce it has acted as the exclusive corporate finance advisor to Sonical in its sale to VanRoey, a portfolio company of Fortino Capital.

Sonical, located near Bruges in Belgium, is a trusted Microsoft partner specialising in digital transformation for small and medium-sized businesses as well as larger enterprises. The company supports clients in optimising their business processes through Microsoft ERP solutions, including Dynamics 365 Business Central and Finance & Operations, complemented by low-code automation capabilities. About VanRoey 
VanRoey, established in 1993, is a Belgian ICT services provider with its headquarters in Turnhout (Belgium) and additional offices in Geel and Houthalen. The company supports organisations primarily in the upper SME and corporate segments across both the public and private sectors, serving approximately 550 customers. VanRoey’s expertise focuses on cloud and on-premise infrastructure, networking and cybersecurity, delivering managed services and secure ICT environments tailored to client needs. As a Fortinet Expert Partner, the company places strong emphasis on safeguarding customer systems and ensuring operational continuity. In 2022, investment company Fortino Capital joined VanRoey to support the company’s long-term growth ambitions.

About the transaction
The transaction enables Sonical’s ERP and development activities to continue their growth as part of a larger ICT services group, providing access to broader resources, scale and complementary expertise while ensuring continuity through the continued involvement of Sonical’s ERP and development management team. For VanRoey, the acquisition represents a strategic opportunity to strengthen its Microsoft ERP offering and expand its regional presence in West and East Flanders, reinforcing its capabilities in supporting clients with end-to-end digital transformation. Concurrently, the Powered Workplace activities have been carved out and will continue independently under the name Arcade Powered Workplace.

CFI’s role in the process
CFI advised the shareholders of Sonical throughout the transaction process. This included identifying and engaging with potential buyers aligned with Sonical’s strategic objectives, advising on the negotiation of the key terms and conditions, managing the due diligence process, and ensuring that all relevant financial and legal aspects were appropriately reviewed and addressed. The transaction was signed on 19 December 2025.
