Antwerp –Â CFI is pleased to announce it acted as the exclusive corporate finance advisor to Xwift, in the acquisition of TTCÂ Trade and Transport Corporation N.V. (“TTC”).
About Xwift
Xwift is a dynamic road transportation company specialised in express and dedicated delivery of goods of all sizes and weights throughout Europe, operating 24/7 all year round. In addition, the company’s services extend to providing storage solutions through its warehouse, alongside offering order picking and value-added logistics services such as packaging, repackaging, and labeling.
About TTC
TTC is a Benelux-focused transport company specialising in tailored road freight solutions, with a primary hub in Kruibeke, Belgium. Established in 1999 through a management buy-out, TTC has grown to over 250 employees across four locations, serving clients primarily in the electrotechnical sector. The company provides 24-hour parcel and pallet distribution, with services such as storage, order-picking, and time-specific deliveries. Supported by its subsidiaries – Corman & Califice, LIS Transport, and Waastrans – TTC also offers dedicated distribution options. Future goals include expanding its client base, advancing digitalisation, and increasing fleet sustainability.
About the transaction
The acquisition of TTC represents a strategic alignment between Xwift and TTC, aiming to enhance operational capacities and broaden service offerings across the Benelux. By combining Xwift’s expertise in express and dedicated delivery with TTC’s established regional presence, robust client network and its distribution knowhow, both companies stand to benefit from expanded market reach and complementary logistics services. This transaction supports Xwift’s ambition to strengthen its footprint in the Benelux and enables TTC to leverage Xwift’s extensive network, creating added value for both entities and their customers.
CFI’s role in the process
CFI has built a strong, ongoing relationship with Xwift, having supported the company on multiple significant transactions in recent years. Following its successful involvement in Xwift’s most recent acquisition of Jetcar Expressdienst from management and private investors, CFI has originated the acquisition of TTC. In this transaction, CFI played a key role in deal origination, negotiating the terms, structuring the deal, overseeing due diligence, managing the valuation process, and securing the necessary financing. Through close collaboration with both Xwift and TTC, CFI ensured a smooth and efficient transaction that aligned with the long-term strategic goals of both companies, culminating in a successful closing on 30 October 2024.
