CFI has advised Samen Professionals in its transaction with Aethon, a portfolio company of Mentha Capital
Amsterdam – CFI Netherlands (“CFI”) is pleased to announce that it acted as the exclusive corporate finance advisor to the shareholders of Samen Professionals (“Samen” or the “Company”) in the successful transaction with Aethon, a portfolio company of Mentha Capital.
Samen was founded in 2011 and has grown into a specialised secondment solutions provider in the healthcare and educational sectors. The Company operates under two distinctive brand names, i.e. Samen in de Zorg for its healthcare activities and Onze Leerkracht for its activities in the educational sector. Samen operates from 6 locations throughout the Netherlands and employs over 400 highly skilled and qualified professionals.
For over 13 years, Aethon has specialised in providing flexible staff for health institutions, municipalities and housing associations. The organisation connects ambitious students and young professionals with clients, thus guaranteeing continuity, flexibility and affordability of staff. Aethon develops and invests in targeted, practical training programs for employees and creates a sustainable solution for providing a flexible shell for its clients. Both Samen and Aethon operate in markets characterised by significant structural shortages of well qualified people. The combination of both companies offers potential for significant synergies and provides a more comprehensive offering to both the clients as well as to its employees.
Mentha Capital is an independent private equity firm active in the mid-market in the Netherlands and Flanders. Mentha Capital invests in established, mid-sized and profitable companies with clear opportunities for growth along multiple avenues, such as organic growth, expansion in new markets or a buy-and-build approach. In 2017 Mentha Capital, together with management, acquired the majority of the shares of Aethon.
Mr Simon van der Vlist, Ms Christina Muillenburg & Mr Luciano Gianella (founders of Samen): “We are very pleased to have found a partner in Aethon and Mentha Capital and look forward to combine both companies into a dominant player for the healthcare and educational markets in the Netherlands. We very much valued the role of CFI during our continuing dialogue over the last years. Their in-depth sector expertise coupled with excellent execution resulted in the desired outcome for all shareholders of Samen.”
Mr Casper Bannet (CEO of Aethon): “Through their excellent insights into our sector, CFI was able to make the perfect one-on-one match between Samen and Aethon. This new combination will occupy a dominant position in the Dutch Staffing market.”
CFI initiated discussions and negotiations in a process that ultimately resulted in a successful sale of Samen Professionals to Aethon in a transaction that closed on 30 July 2019.
