CFI advised TecqGroep (fmr. Humares) on the sale of TiP personeelsdiensten to Actief Interim, a portfolio company of Gilde Equity Management


Amsterdam – CFI acted as the exclusive corporate finance advisor to TecqGroep (fmr. Humares) on the sale of TiP personeelsdiensten to Actief Interim, a portfolio company of Gilde Equity Management.

TecqGroep (fmr. Humares) is an international provider of flexible staffing solutions. Operating a number of strong specialist brands such as Maintec, Nova Engineering, Oceanwide, and Impact, TecqGroep is focused on providing specialist knowledge and capacity in predominantly technical sectors such as oil & gas, engineering, construction and maritime.

TiP provides staffing, recruitment (search & selection) and payrolling services to the SME segment in the hospitality, administrative, logistics, and production industries. With a track record of over two decades, it operates now from nine locations predominantly in the Eastern and Northern part of the Netherlands.

Actief Interim, founded in 1988, is one of the largest independent staffing companies in Belgium with 64 branches throughout the whole country, with revenues in excess of EUR 200 million. Actief Interim has a leading position in the SME market segment, with a strong presence in the construction and service coupon markets. The acquisition of TiP heralds the entry of Actief Interim in the Dutch market and marks its first acquisition.

Gilde Equity Management Benelux (Gilde) is a private equity investor, focused on realizing midmarket management buy-outs in the Benelux region, with € 750 million of assets under management. Gilde acquired Actief Interim in 2011 from KBC Private Equity and Indufin. Other examples of (previous) investments include Pack2pack Halsteren, producer of industrial tinplate packaging; Conclusion, provider of business services with a specialization in IT and business process outsourcing, and ISFI, specialist in selecting, blending and packaging high quality herbs & spices.

TecqGroep is implementing a strategy that is centered around its core activities: international technical staffing and secondment. As part of this process, TecqGroep engaged CFI to advise on the divestment of TiP. As the activities of TiP are rather focused on generalist staffing activities, it is better positioned with a new owner, whose strategic objectives are more in line with the business of TiP.

CFI initiated discussions and negotiations with a range of international and Dutch strategic and financial parties. This process ultimately resulted in a successful transaction with Actief Interim and Gilde, which closed in August 2014.
